IM Chat User Content

(a) General. Through your use of the Services, you may have access to communication tools, including an instant chat function ("OKX Chat"), that allow you and other users to submit, post, or transmit data, text, images, or other materials (collectively, “User Content”). You understand that OKX does not control User Content and does not authorize, approve, pre-screen, verify, or endorse the completeness, legitimacy, legality, accuracy or reliability of any User Content. OKX expressly disclaims any liability arising from or related to such User Content. Your use of OKX Chat, and of any User Content, is at your own risk. OKX reserves the right to amend these Terms and Conditions at any time by publishing updated terms on this page. Where it is reasonable to do so, OKX will provide fourteen (14) days’ notice via a prominent announcement on this page prior to any material amendments not in your favour taking effect. Your continued use of OKX Chat following such amendment constitutes your acceptance of the updated terms.

(b) Reservation of Rights. OKX reserves the right, in its sole and reasonable discretion, to remove, suspend, or restrict your use of OKX Chat and/or any User Content. Where it is reasonable and legally permissible to do so, OKX will provide you with prior notice of such removal, suspension, or restriction. OKX reserves the right to report any User Content that it believes, in good faith, to be illegal, harmful, or otherwise in violation of applicable laws to the appropriate law enforcement authorities, regulatory agencies, or any other relevant authorities or parties.

(c) Grant of Usage Rights. By submitting User Content to the OKX platform, you grant OKX, its parent companies, affiliates, and service providers a worldwide, non-exclusive, royalty-free, and fully paid-up right to host, store, use, display, reproduce, modify, and distribute such User Content for the operation, and improvement of our Services and of OKX Chat.

(d) User Compliance and Warranties. You represent and warrant that you possess all necessary intellectual property rights to any User Content you share. You agree that your User Content will not: (i) be defamatory, obscene, or unlawful; (ii) infringe upon the patents, trademarks, or copyrights of any third party; or (iii) contain software viruses or malicious code. You are solely liable for any damage resulting from any infringement of copyrights or any other harm resulting from your submission of User Content. OKX reserves the right to terminate access to OKX Chat or to our Services for users who repeatedly infringe upon the rights of others. You agree to indemnify and hold OKX harmless from and against any and all claims, liabilities, or expenses arising out of or related to your User Content, except to the extent that such claims, liabilities, or expenses were caused or contributed to by the fraud, negligence, or willful misconduct of OKX.

(e) General Information Only. All communications made through OKX Chat, whether initiated by you, another user, or OKX personnel, are general in nature and are provided for informational purposes only. Communications through OKX Chat do not constitute personal financial product advice within the meaning of the Corporations Act 2001 (Cth), and are not provided with regard to your objectives, financial situation, or needs. You acknowledge that OKX is not providing any recommendation or opinion intended to influence you in making a decision in relation to a particular financial product. You should consider whether any information is appropriate for you and obtain independent professional advice before making any financial decisions.

Monitoring and Record Keeping

(f) Monitoring of Communications. You acknowledge and agree that all communications conducted through OKX Chat may be monitored and recorded by OKX for the purposes set out in clause (g) below.

(g) Retention of Chat Logs. OKX expressly reserves the right to monitor, record, retain, and store all chat logs and communications made through OKX Chat. OKX may retain such records for the purposes of:

  1. compliance with the Corporations Act 2001 (Cth), including any applicable Australian Financial Services Licence conditions;

  2. compliance with the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) (AML/CTF Act) and associated rules and regulations;

  3. compliance with any other applicable laws, regulations, or directions issued by regulatory authorities, including Australian Securities and Investments Commission;

  4. the detection and prevention of fraud, market misconduct, and other unlawful activity; and(v) the operation and improvement of the Services.

Account Suspension and Termination

(h) Right to Suspend or Terminate. Without limiting any other rights or remedies available to OKX, OKX reserves the right to immediately suspend, restrict, or terminate your access to OKX Chat and/or the Services if OKX determines, in its sole and reasonable discretion, that you have engaged in any of the following conduct:

  1. abusive, threatening, harassing, or offensive behaviour directed at other users or OKX personnel;

  2. conduct that is unlawful or in breach of any applicable laws or regulations, including the Corporations Act 2001 (Cth) and the Anti-Money Laundering and Counter-Terrorism Financing Act 2006;

  3. conduct that is in breach of these Terms and Conditions or the Terms of Service; or

  4. any other conduct that OKX reasonably considers to be inappropriate, harmful, or non-compliant with the proper use of OKX Chat.

Where it is reasonable and legally permissible to do so, OKX will provide you with prior notice of such suspension, restriction, or termination. OKX will not be liable for any loss or damage arising from the suspension, restriction, or termination of your account or access to OKX Chat pursuant to these Terms and Conditions, other than where such loss or damage is caused by the fraud, negligence, or wilful misconduct of OKX.

Privacy

(i) Privacy Policy. Your use of OKX Chat is subject to the OKX Privacy Policy, as updated from time to time. Please refer to our Privacy Notice for information about how we collect, use, and share your information.

Enhanced User Warranties and Indemnities

(j) Additional User Warranties. In addition to the warranties set out in clause (d), you further represent, warrant, and undertake that, in connection with your use of OKX Chat, you will not:

  1. share, distribute, or communicate any information that could reasonably be construed as personal financial product advice or financial recommendations to other users;

  2. engage in, facilitate, or promote “pump and dump” activities or any other form of market manipulation, as defined by OKX in its reasonable discretion or under the Corporations Act 2001 (Cth), including the dissemination of misleading or deceptive statements intended to artificially influence the price or volume of any digital asset;

  3. engage in conduct that constitutes market manipulation or market misconduct within the meaning of the Corporations Act 2001 (Cth) or any other applicable legislation;

  4. impersonate, or represent yourself as, any OKX employee, officer, agent, or representative, or create a false impression that you are affiliated with or authorised by OKX; or  

  5. use OKX Chat for any purpose that is illegal, fraudulent, or in breach of applicable sanctions or AML/CTF legislation.

Where OKX determines, in its reasonable discretion, that you have breached any of the warranties in this clause (j), OKX may exercise its rights under clause (h) to suspend or terminate your access. Any such determination will be made reasonably and, where legally permissible, OKX will provide you with notice of the specific conduct that triggered the breach.

OKX Personnel Communications

(k) Scope of Staff Communications. OKX personnel (including employees, contractors, and authorised agents) may from time to time initiate communications with you through OKX Chat, including proactive outreach to VIP and other clients. You acknowledge and agree that any communications from OKX personnel through OKX Chat are limited to the provision of general information and account support unless OKX has expressly notified you otherwise in writing. OKX personnel will not provide personal financial product advice to you through OKX Chat.

(l) No Personal Financial Product Advice from Staff. Notwithstanding any communication from OKX personnel through OKX Chat, OKX confirms that OKX Chat will not be used to provide personal financial product advice (within the meaning of the Corporations Act 2001 (Cth)) to you. Where OKX personnel provide information relating to digital assets, products, or services, such information is general in nature and does not take into account your personal objectives, financial situation, or needs.

(m) Monitoring of Staff-Initiated Communications. All communications initiated by OKX personnel through OKX Chat are subject to the same monitoring and record-keeping obligations set out in clauses (f) and (g) above. OKX maintains appropriate internal controls and supervision over staff-initiated communications, particularly in respect of regulated markets and the provision of financial services in Australia.
